Job Description

Our Client is a rapidly expanding copany in the Healthcare sector. They are looking for a qualified and experienced Accountant, who can embrace working at the highest level, including mergers and takeoversAim of the post:To assist the CFO in delivering the corporate finance and governance functions for fundraising and mergers & acquisitions for the group including supporting the role of Company Secretary.Main responsibilities:· Produce analysis and reports on key success measures including financial planning in relation to pricing, industry trends and potential growth in relation to competitors, mergers and acquisitions and other corporate finance projects.· To create financial analysis for external interested parties and collating information for Due diligence requirements· To create written and numerical documentation to support the production of a prospectus for fundraising, proposals for potential M&A opportunities and other corporate purposes.· Produce documentation, briefing materials and presentations on a range of critical business issues to support the decision-making for the CFO and other senior executives for the Board and other senior managers including on potential acquisitions and mergers.· Assist and supports senior management in the implementation and embedding of allocated special projects against success measures.· To assist the Corporate Secretary with all company secretarial duties including:o board, committee meetings and general meetings including board paper preparation, agendas and minute managemento updates to the Articles of Association including drafting and incorporating required amendments.o maintain company records and statutory registers including members, directors and secretary, interest in shares etc, risk registers, Health and Safety, IP registrationso maintain records held at Companies House, FCA, BC and the stock exchange including submitting statutory returns and meeting all UK listing requirements and on the websiteo Insurance managemento review and feedback on group contractso act as the group Data Officer and manage Data Protection Complianceo monitor and analyse shareholder and options to identify shareholder profiles including making enquiries about beneficial ownersPERSON SPECIFICATIONSkills, qualifications and experience required ACA, ACCA or CIMA· Qualified /Finalist accountant · Compccountant. If you have the right quaalificationsany Secretary / Business law experience or related knowledge· Experience of successfully managing projects and/or teams to achieve agreed priorities· Excellent communication skills written and verbal· Excellent IT skills including Microsoft applications of Excel, Outlook, Databases andWord· Ability to deliver complex ideas and arguments in a variety of ways to diverse audiences(through effective presentation skills and meetings)Pendry Selection Servies are handling this unique and exciting opportunity for an ambitious Accountant.
