Job Description

Role: Company SecretaryLocation: LeedsPosition Overview:We are seeking a diligent and experienced Company Secretarial Officer to join our team. The ideal candidate will have previous experience in a similar role and may be working towards their ICSA qualification. The primary responsibility of this role is toundertake company secretarial duties for residential management companies, ensuring compliance with regulatory requirements and providing support to directors.Key Responsibilities:

  • Obtain, file, provide, and collate information held at Companies House as and when required. Such as confirmation statements and accounts.
  • Interpret the memorandum and articles of association and advise directors accordingly.
  • Issue share certificates or membership certificates according to the relevant memorandum and articles of association.
  • Prepare General Meeting Notices.
  • Maintain the company books and registers.
  • Issue Call outs for Directors to join the board.
  • Complete and file the annual Confirmation Statement.
  • File annual Dormant/Statutory company accounts.
  • Upkeep and periodic review of statutory registers.
  • Provide access to basic legal advice on company matters.
  • Utilize Inform Direct Software to aid in the administration of the RMC.
Requirements:
  • Previous experience in a similar role.
  • Working towards ICSA qualification is advantageous.
  • Excellent analytical skills,
  • Strong interpersonal skills.
  • Proactive and dynamic, taking ownership of all core duties.
  • Strong written communication skills.
  • Accuracy and attention to detail.
  • Ability to gather, assimilate, analyse, and effectively summarize information and give briefings/prepare briefing notes as necessary.
  • Experience in formatting documents.
  • Ability to handle multiple tasks.
  • Competent in using Word, Outlook, and Excel
  • Flexible and cooperative, working as a member of a team.
  • Understanding the importance of achieving deadlines and ensuring quality output.
  • Initiative and responsibility for providing solutions.
  • Ensure confidentiality and security of all business, client, and customer documentation/information.
