Fantastic opportunity for a lawyer with a background in structured finance or structued products to join a growing financial services boutique in London.My client, a financial services boutique, which is specialised in issuing structured products has given me an exclusive mandate to hire a structured finance lawyer to join their growing organisation. This is a permanent position and the successful candidate will be reporting directly into the Head of Legal.This boutique specialises in structured products (including retail structured products) and loan/fund repack, so most of the work requires product skills (issue terms, ISDA equity derivatives definitions etc) and/or transactional skills (all transactions are entered into by SPVs, and in repack deals there can be security interests, trustees, and complex articulation between different instruments and transaction documents, closing sequences etc).Most work is also time sensitive, so in all it has a private practice flavour and requires strong technical skill in loan/share repack, equity derivatives and issuance programmes. There is also SPV programme level work, and some regulatory work (manufacturing and distribution).In this role, the successful candidate will be responsible for providing legal advice, transaction structuring, drafting and negotiating documentation and providing all related transaction management and project management for:-note issuance by the organisation by SPVs already established or to be established by the organisation;-assisting the sales team with the credit structuring of loan repack transactions;-drafting transaction documents (loan agreements, issue deeds, final terms, security interest agreements);-all related transaction management and project management for structured transactions; and-derivative documentation including ISDA master agreements and equity derivatives master confirmations, index rules and advisor agreements.The successful candidate will also be responsible for:-advising and assisting the sales team in the structuring and the setting-up of new and complex products and new business initiatives;-advising and assisting the operations team in the drafting of issue terms in line with the issuance programme or prospectus;-coordinating the establishment, updates, upgrades, listing and administration of note issuance programmes operated by the organisation (including crypto-linked note initiatives), as well as all supporting service providers including SPV administrators, custodians, auditors and others;-providing legal advice and support with respect to strategic, legal, compliance and documentation matters and initiatives in relation to structuring transactions;-advising on the legal, regulatory and reputational issues arising in transactions and in the non-transactional aspects of the operation and business activities of the organisation; and-participating in working groups and committees of the organisation including the Product Approval Committee for retail structured products.I am very keen to speak with UK qualified junior/mid-level lawyers who have practiced in the structured finance, structured products, derivatives or securitisation space.Please email me at to arrange a confidential discussion regarding this role.
