Job Description A multinational banking and financial services corporation is rebuilding its financial markets legal team and is looking for a senior legal counsel (5+ PQE) The DepartmentThe Legal Department of this European bank provides tailored and sustainable legal solutions by being a partner in business while mitigating potential legal, regulatory and reputational risks. The Legal Department in London consists of around 14 Lawyers providinglegal support principally to the Financial Markets and Wholesale Lending businesses who service international clients. There are three lawyers primarily responsible for the Financial Markets (FM) division. The RoleThe team is looking for a broad-based transactions lawyer that can hit the ground running. This role supports the trading floor business and deals primarily with Equity and structured products such as total return swaps, repacks, ISDA and margin loans (e.g.CMA-based loan agreements where dealing with security package underneath). Importantly, these financial instruments may be cross-jurisdictional. This lawyer will also be working closely with the global financial markets team (based in Amsterdam and Singapore).- tdeal with mainly interest rate swops and credit derivatives (structured products). The team will consider candidates from Senior Associate up to Junior Director level. The Responsibilities
  • Provide general legal and associated advice and support, as required, to other businesses and support functions, principally in London but also in other locations, including Credit Exposure Management, Front Office Operational Support to the FM business,Compliance, Credit, Risk, and Innovation
  • Provide legal advice in connection with a broad range of products linked to a diverse trading strategy - primarily equity derivatives, margin lending, share security packages, structured products, total return swaps, commodity derivatives, FX, securitiesfinancing transactions, and credit derivatives
  • Review, draft and negotiate term sheets and all documentation required for execution of transactions, including industry standard agreements (e.g. ISDAs, CSAs, confirmations, GMRAs, GMSLAs)
  • Assist with documenting financial market infrastructure connections (e.g. reviewing clearing agreements and give-up agreements)
  • Maintain a comprehensive and current knowledge of relevant legal and regulatory issues, including ISDA and other market standard documentation (including participation in relevant ISDA and other relevant market working groups), netting, clearing, unclearedmargin and IBOR transition requirements, as well as MiFID/MiFIR, EMIR, BRRD, CRD/CRR and their UK equivalents
  • Deal with general legal queries in relation to FM products and trading activities
  • Liaise as necessary with external counsel
  • Keep internal clients advised of relevant legal developments
The Requirements
  • English-qualifies or other common law solicitor or barrister
  • Minimum of 5 years post-qualification experience working for a magic circle or equivalent law firm or in-house for a leading international wholesale bank in these areas
  • A confident, articulate personality who is a great team player, good at building client relationships, and able to take responsibility for, and prioritise, their workload without extensive supervision.
