Job Description

To support the Company Secretary in providing proactive and effective Company Secretarial support to the business and subsidiary boards and their committees.Main duties Board and committee support• Managing Group and subsidiary board and committee meeting processes - working with management to set agenda, briefing management teams on lead times for the delivery of board and committee papers; and ensuring the timely publication of high-quality materialsto the businesses board.• Attendance at and minuting board and committee meetings, some of which will require occasional travel to various national locations.• Developing a close working relationship with Executives, boards, Chairs and committee members and act as first point of contact.• Tracking to completion actions arising from board and committee meetings.• Maintaining board and committee records, including papers, minutes, and other documentation. Entity management• Statutory compliance - responsible for ensuring the maintenance of statutory records for entities falling within the remit of the businesses Secretariat, and for ensuring the timely submission of statutory filings.• Supporting corporate transactions as and when required, including drafting board resolutions, and supporting briefing materials for board members.• Assisting in the production and approval of the Annual Report and Accounts. Corporate Governance

  • Maintenance of statutory registers
• Preparing research and first draft briefing materials for the Company Secretary on proposed changes to the governance and regulatory landscape.• Keeping abreast of approaches to common reporting items by the businesses industry peers as these evolve.• Acting as a point of contact with the Secretariat for board members and other stakeholders.• Administrative tasks related to the activities of the Secretariat.Other duties:
  • Office Management - ordering supplies for the office
  • Dealing with service providers for example IT, and Telephony providers
  • Executive Team Assistant support for travel and expenses
  • Ad hoc administrative and project tasks
  • Being first point of contact for guests at the office
Skills, knowledge, and experience• Extensive experience in a similar role within financial services.• Experience of interacting with senior Board members.• Experience of and enthusiasm for minute taking at a senior level.• A solid grasp of the requirements of the Companies Act.• A solid understanding of Corporate Governance best practice, and experience of applying this understanding pragmatically in support of boards and committees within financial services.• Experienced dealing with Executive and Non-Executive members of boards• Group Finance• Group Risk and Compliance.Key competencies/behaviours• Adopts a methodical approach with excellent attention to detail• Always acts with integrity and discretion, with a commitment to doing the right thing, even when no-one is watching• Proactively seeks out opportunities to improve processes and ensure the effective functioning of the Secretariat• Takes responsibility for and ownership of decisions, actions, and outcomes
