Job Description

A global education and publishing firm currently requires a Business Acquisition Director to join them on a 6 month contract basis, to join a Global Deal Operations team within our Finance function, to partner with Corporate Development to lead on a potential M&A target acquisition plan. Based in central London but currently working from home.Responsibilities;

  • Drives the creation of buy side objectives with Corporate Development
  • Prospect assessments, develop initial due diligence criteria and screening parameters
  • Decision facilitation, Detailed due diligence, integration strategies and plans, including documentation of services and serve as key advisor to internal and corporate development team using experiences to guide and support the acquisition project.
  • Working alongside functional leads and deal operations team, deliver timely, accurate plans ensuring successful deal delivery and execution, navigating the complexities of our transformed operating model and minimising deal risk and protecting operational costs
  • Provide or source solutions to ensure contractual obligations are met to quality standards, agreed timeframes and within budget/cost agreements.
  • Ensure proper protocols and processes are followed and adhered to in a timely manner for each transaction.
  • Ensure relevant business/functional representative approvals and all issues/risks appropriately mitigated.
  • Create and manage deal synergy and business value drivers and ensure smooth transition to BAU
  • Act as liaison and assurance on data collation for due diligence, with significant interaction, coordination and connecting between stakeholders and business teams. Work with appointed representatives across specialist and technical areas.
  • Gather financial estimates and identify key costs associated with integration, which could inform valuation and execution, as well as managing budget and spend for deal execution costs.
  • Ensure detailed and accurate financial estimations and budget management.
  • Ensure deal KPIs are installed and tracked to ensure realization of value drivers.
  • Ensure transaction governance and managing of seller/business relationships, risk & issue management to ensure successful execution of post deal close activities
  • Deliver well communicated, balanced, and comprehensive analyses for each stage of transaction for the businesss executives and key stakeholders.
  • Contribute to pre- deal due diligence and valuation processes and deliverables, supporting the Corporate Development Strategy Deal Team.
  • Using program management disciplines, establish governance and deal milestones that are adequately tracked, monitored and escalated as necessary.
  • Ensure deal timelines are jointly agreed and viable.
  • Demonstrate ability to work comfortably and collaboratively with, as well as influence, key personnel and senior business executives and stakeholders.
  • Other duties: Undertake similar duties as required by line manager to support business activities, in a timely, responsive and flexible manner, positive can-do attitude, self-motivated and proactive.
  • Requirements
  • Significant Experience in M&A target acquisition and integration delivery.
  • End to end Lifecyle experience of M&A deal delivery, and operational implementation
  • A suitable candidate will also have had a successful track record of managing integration transactions, preferable in a target auction environment
  • Capacity to operate within a fast-paced, highly competitive, and dynamic environment, at a Director level
  • This is a hands on, sleeves rolled up delivery role, that will work collaboratively with partners, advisors and internal teams across product, sales, operations, technology, finance and HR to support the deal execution. All the work delivery supports the Corporate Development Team.
  • The candidate will demonstrate in-depth operational and financial valuation experience, asset assessment, integration effort estimating experience, supporting strategic analyses, running due diligence and making effective decisions and plans for deal execution.
  • The candidate will have knowledge of accounting concepts, corporate finance, and will also have experience managing a deal operations team through the entire life cycle of a transaction. This includes in depth knowledge of the company operating model and business strategic drivers and models.
  • Excellent communication skills, both in written and verbal form, and able to tailor to suit various audiences. Ability to handle high profile engagements from Board room to external partners and third parties, operating at the highest level of professionalism as a representative of the Brand
