Juice Recruitment is delighted to be supporting a not for profit organisation based in East Bristol with their search for a Board Secretary. This is an exciting new role within the organisation and a fantastic opportunity to implement positive changes and play a key role in achieving company strategy and organisational objectives.This is a pivotal role within the organisation and the role holder will be responsible for corporate governance systems and processes and be a key individual to ensure the organisation is safe and effective. Reporting to the Chief Governance and Quality Officer the Board Secretary will deliver as part of a team of direct reports across the Governance and Quality Directorate.Duties will include:- Responsible for ensuring comprehensive and effective governance arrangements are in place- Establishing and maintaining systems and processes that ensure good integrated governance and advising on all corporate governance matters- Providing expert advice and support to the Chair, Chief Executive, Board and Committee Chairs on all matters relating to statutory and legislative compliance; and governance and constitutional matters- Leading the development of the revision of policies relevant to corporate governance.- Ensures that appropriate Equality and Impact Assessments are conducted as necessary- Organising and attending board meetings, and formulating meeting agendas of the Boards and Committees- Ensuring all meetings are minuted and that minute books are maintained with a certified copy, communicate decisions as required- Preparing and presenting governance reports to Council and Executive Boards and to relevant Committees and external agencies as required to deliver integrated governance strategy and requirements- Developing strong working relationships with external partner organisations- Interpreting, analysing and proactively maintaining knowledge of up-to-date statutory and regulatory requirements to ensure compliance of all current and future governance policies and procedures- Facilitating the induction and development of new Council Board members- Maintaining any necessary statutory registers and respond to requests for information within- Supporting the preparation, publication, distribution and presentation of the annual report- Participating in relevant professional networks ensuring feedback and learning is shared- Undertaking any other duties as appropriate to this role.As the ideal candidate, you will be a member of the ICSA (or equivalent) and will have advanced knowledge, understanding and practical application of regulatory compliance and corporate governance.
