We help both UK and international companies establish and maintain best-practice corporategovernance policies and systems. We assist Main Market and AIM companies with their ongoing corporate governance requirements, companies planning to float or perform an IPO and complex private groups.We have global experience across a number of international stock markets and a variety of domiciles, and have a strong record in working with companies from emerging markets. With broad experience in the boardroom, we also offer board evaluation, directortraining and mentoring services for company secretaries. We are committed to combining pragmatism with technical excellence.Role Summary:The main purpose of the role is to support the delivery of a first class service to Prism clients through the provision of company secretarial administrative support and best practice.It will require the proactive management of a portfolio of clients, with the assistance of a Company Secretarial Assistant and broadly include the maintenance of statutory records of client companies, co-ordinating the preparation and filing of statutoryforms and returns at Companies House, and other administrative tasks required to ensure clients meet their statutory and regulatory compliance obligations.Core Responsibilities:

  • Maintaining statutory records for client companies using Blueprint, GEMS and other company secretarial software packages;
  • Compiling, maintaining and updating compliance diaries for clients to ensure that statutory and regulatory filing deadlines are communicated and met;
  • Preparing statutory forms and returns, and any other supporting documents, for the approval and/or signature by clients;
  • Filing statutory forms and returns at Companies House (including the annual Confirmation Statement);
  • Preparing routine minutes to support the approval of statutory forms and returns, including minutes to approve the annual financial statements of client companies;
  • Preparing dormant accounts for client companies;
  • Incorporating new companies, and dealing with post incorporation matters (appointment of Directors/Secretary, change of accounting reference date, etc.) as required;
  • Maintaining and updating minute books for client companies, and ensuring that statutory retention periods are adhered to;
  • Providing reports and statutory information to clients on request;
  • Assisting with the production of annual and quarterly invoicing as required;
  • Ensuring that all precedents, templates, checklists and guidance are kept up to date and fit for purpose;
  • Developing and improving internal procedures and processes to ensure they continue to support the delivery of services to clients on time and to a high standard; and
  • To support and coach junior members of the team assist in the management of their day to day workflows.
The successful candidate will demonstrate the following:Academic & Professional Qualifications
  • Recognised degree or equivalent qualification
  • ICSA qualified or part-qualified
Expertise
  • At least 3 years of company secretarial experience
  • Knowledge of relevant legal and regulatory requirements, particularly the UK Companies Act 2006
