Our purpose calls on us to innovate openly, with the profoundambition to act every day to make the world a more beautiful and sustainable place to live.The overall purpose of the role is to support and assist the Company Secretary in all aspects of the Company Secretariat function including all aspect of compliance with the Companies Act (UK and Ireland), To be a crucial partner to the Group by facilitatingand challenging commercial decisions, maintaining a robust control environment and actively seeking Group Compliance.Role Accountabilities:

  • Takes responsibility for their own and their colleagues Health and Safety. Shows genuine concerned for peoples wellbeing
  • Relationship Building; Works collaboratively throughout the group to meet business and Secretariat provision.
  • To manage the subsidiaries compliance administration to ensure the effective governance.
  • To advise and provide insight to the Company Secretary on any legal and regulatory implications which may affect the operations of the subsidiaries.
  • Actively engages with the key stakeholders to communicate the importance of robust processes and highlight risk of non-conformance.
  • To ensure effective corporate governance throughout the UK and Ireland.
  • Supporting the Company Secretary in developing and implementing a functioning strategy in line with that of the Group.
  • Monitor external development on matters of corporate governance, regulation, legislation or similar that might affect the Group.
  • Assume accountability for the operation of the Classic Share Plan in collaboration with the Reward team.
  • Oversee the management of statutory compliance & governance of all Group entities and ensure robust records are maintained.
  • Provide guidance and support to the Legal, Risk, Compliance and Finance teams regarding ad-hoc projects.
  • To review regularly the governing documents of UK and Ireland companies, and where appropriate, draft and incorporate amendments in accordance with correct procedures
Skills and experience we require from you:
  • ICSA newly qualified with company secretarial experience.
  • A bachelors degree with at least a 2:2.
  • Knowledge of company reorganisations, amalgamations and liquidations.
  • Knowledge of employee share schemes.
  • Knowledge of data protection.
  • Knowledge of Blueprint Company Secretarial software.
  • Knowledge of insurance and pensions desirable but not essential.
  • Excellent IT skills, including excellent knowledge of MS Word, Excel and Visio.
  • Excellent written and oral communications.
  • Organised, efficient and reliable.
  • Excellent attention to deal.
  • Must be able to deal with staff at all levels (essential).
  • A can-do attitude is a must and a willingness to provide help where required.
