Job Description

Purpose:This role reports into the Society Secretary and is responsible for provide wide ranging assistance on company secretarial and corporate governance matters with a particular focus on providing secretariat support to the Society’s subsidiaries and CharitableFoundation.As a part of this role, you will ensure that the Society’s Board and Subsidiary governance processes operate effectively and in line with applicable legal requirements. You will also assist with corporate governance aspects of the Society’s Annual Report &Accounts and AGM, including review and approval of AGM communications and provide legal advice to support projects and activities undertaken by the Society’s Charitable Foundation.Your day to day:

  • Provision of a comprehensive secretarial and legal support service to the board and board committees of the Society and Charitable Foundation.
  • Provision of legal advice to support projects and activities undertaken by the Society’s Charitable Foundation.
  • Draft and review Board and Board Committee policies, papers and minutes seek approvals from senior management, Executive and Non-Executive Directors as needed.
  • Skilled in producing high quality minutes and live minuting meetings.
  • Assist with corporate governance aspects of the Society’s Annual Report & Accounts and AGM, including review and approval of AGM communications.

  • Provide legal support and advice on the application of the Building Societies Act, Companies Act and other similar legislative measures relevant to corporate governance and reporting at the Society.
  • The role requires working with a range of stakeholders across the Society, including the Finance, Treasury, Legal and HR Functions

  • Legally qualified (2-3yrs PQE) or ICSA qualified.
  • Ability to manage and prioritise a wide variety of matters with competing deadlines
  • Work well under pressure with good organisational skills.
  • A sound grasp of relevant corporate governance and charities law requirements
  • Able to work in a team or alone and effectively collaborate to achieve common goals plus the ability to self-manage competing workloads & effectively prioritise.
  • Possessing strong drafting and research skills, your able to prepare clear and concise materials for board-level audiences.
  • Solution focused mindset - with the ability to use own experience to suggest solutions and resolve complex issues.
Desirable:
  • Legal and philanthropic governance expertise
  • Experience of working in financial services or a regulated environment would be preferred
