Our client is a leading technology distributor and manufacturer of lasers, sensors, thermal imaging and other specialist equipment. Their industry clients are within the medical, oil and gas, transportation and infrastructure sectors. The company, whichwas part of a larger group, has recently been acquired by a private equity company and it is now seeking to hire a new Group Company Secretary.The role will be responsible for all corporate governance matters across the various office locations in Europe and headquartered in Berkshire. Reporting directly into the CEO and working closely with the Executive Board, your responsibilities will includeamongst others: Preparation and distribution of monthly Board paper and minutes; Act as Executive Secretary to the board and sub committees; Provide support on corporate governance matters (AGM, articles of association, board manuals, PDMR dealings etc); Managecorporate compliance matters; Maintain company records and statutory filing for Group Head Office companies; Work closely with the Finance function in support of external auditors and preparation and review of Annual Report and Accounts; Assist in the provisionof responses to questions raised by, and reports requested by, the companys investors; Assist on strategic planning and Group M&A work.Candidate Requirements*At least 10 years post qualification experience as a Company Secretary and demonstrated UK and European experience in a similar role*Relevant professional qualification (CGI/ICAS) or qualified corporate solicitor*Proven experience supporting the Board and working with the C-Suite teamTo discuss this role in confidence, please contact James Franklin at Search Legal, who has been exclusively retained on this position:
