Job Description

Role descriptionThe jobholder will work as part of the IBOR transition project management team dedicated to the review, negotiation and execution of documentation related to Loan Facility transactions (Syndicated Facilities, Project and Export Finance, Islamic Financing and others) and Debt Capital Markets transactions (Corporate Trustee) which are impacted by the cessation of LIBOR. The jobholder will also be responsible for liaising with arrangers/lenders, borrowers, issuers, managing external counsels and discussing with internal advisory lawyers where required as well as working closely with the Client Services and Operations to ensure smooth transition of LIBOR under the impacted contracts.Responsibilities

  • The jobholder will be dealing with syndicated loans, project finance, export finance, Islamic finance, conventional bonds, MTN programmes, structured finance and other products as required.
  • The jobholder will be required to review, negotiate and execute documentation which are impacted by the cessation of LIBOR, and handle all relevant documentation issues.
  • The jobholder will at all times work pro-actively with clients, peers and stakeholders to ensure a smooth and high standard of service delivery to our clients.The jobholder will review documentation to ensure compliance with the clients standards and assist in reviewing and performing analysis of the transition strategy as a whole from a legal and operational perspective to identify any potential issues.
  • The jobholder will work closely with Client Services to administer the LIBOR transition process including contract amendments, consent solicitations and status reporting.
  • The jobholder will analyze complex and challenging documentation issues and recommend best course of action to internal stakeholders and committees.

  • Experience with Transaction management and negotiating contracts and agreements
  • Bond amendment experience
  • Experience with contract documentation and contract amendments
  • Finance or Corporate trust background is ideal
  • IBOR/ LIBOR would be a huge benefit
  • A minimum of 5 years experience as a banking and finance lawyer or transaction manager or extensive experience in the corporate trust and loan agency business.
  • Exposure to loan transactions, conventional debt, medium term note programmes and structured finance.
  • Sufficient corporate trust and loan agency experience
  • Understanding of banking operations is desirable but not essential
  • Excellent time management and organizational skills.
  • Good communicator, both written and verbally.
  • Fluent English is a must; ability to communicate with Chinese clients would also be good.
  • Ability to work consistently under pressure in a high-performing environment.
  • Ability to respond in a time critical fashion to issues.
  • Proactive and flexible attitude.
  • Client focused.
  • Team player.
