Description: As a member of Northern Trusts EMEA Legal Department, this attorney will be responsible for providing high quality legal advice and counsel to our senior management and business partners in a manner consistent with our enduring principles of service, expertiseand integrity. The ideal candidate will be a qualified solicitor with broad experience in procurement matters for a global financial organisation, including commercial contract negotiations, software and technology sourcing, and enterprise market data licensingand distribution. The candidate will have primary responsibility for advising procurement business partners on a wide range of legal issues, including outsourcing, technology licensing, enterprise market data, applicable bank policies and regulatory matters,contract negotiations and other procurement-related matters including third party management and vendor management. The role will be based in London and will report to the General Counsel International based in London. Major Duties:

  • Advise and support the procurement business unit with drafting, reviewing and negotiating commercial contracts (including for goods, services and software), managed services agreements and other documentation incidental to a vendor or outsourcing relationship.
  • Advise on all legal aspects of enterprise market data distribution, licensing and procurement. Draft, review and negotiate enterprise market data agreements and other documentation incidental to such a relationship.
  • Advise on all legal aspects of the licensing of software. Draft, review and negotiate software license agreements, SaaS agreements and other documentation incidental to a business partner, vendor or outsourcing relationship.
  • Provide contract interpretation and other advice in response to compliance queries, audits, and initial contract disputes.
  • Develop, update and maintain template contracts for the procurement business unit.
  • Train procurement business partners on all above-referenced matters and work collaboratively with other relevant business and Legal Department partners.
  • Provide legal support for other corporate teams (including real estate) as requested and support other Legal Department team members.
  • Work collaboratively with legal colleagues in the US and APAC who also support the procurement function.
The successful candidate will benefit from having:
  • Extensive experience negotiating, and general familiarity with, different types of procurement contracts, including software, technology, managed services and enterprise market data license agreements;
  • In-depth experience with the legal and regulatory aspects of procurement on behalf of a multi-jurisdictional financial organisation, including software and technology sourcing and outsourcing requirements;
  • Ability to work cooperatively with all levels of the organisation and provide legal advice and counsel on a wide range of procurement-related matters;
  • Ability to conduct in-depth legal analysis and provide practical, solutions-oriented advice;
  • Excellent oral and written communication skills;
  • Ability to work collaboratively on teams, both within the Legal Department and with business partners;
  • Ability to manage relationships with business partners, clients and outside counsel; and
  • Current knowledge of applicable existing and upcoming regulations impacting the banking industry generally and procurement more specifically.
  • Proven experience at a nationally recognised law firm and/or in-house legal department advising financial services clients in relevant areas
  • Qualified solicitor in England & Wales.
