Job Description

The role of the Senior Company Secretary is to support the LFS Company Secretary in the delivery of company secretariat responsibilities to Link Fund Solutions (LFS) and the legal entities within it.This Senior Assistant Company Secretary role will see you support the LFS Company Secretary in ensuring that the organisation has the requisite corporate governance policies, procedures, and structures in place. You will play a key role in ensuring that theorganisation complies with its legal regulatory and constitutional requirements. Working in conjunction with the Company Secretary, you will also provide support to the board.In this team you will be a part of a direct team of 5 and extended global team of c25 staff. What youll be doing:

  • Support the LFS Company Secretary in Board and Executive governance and coordinate the Board and Committee support activities provided by your colleagues.
  • Providing meeting support to LFS committees and to boards/committees for legal entities within LFS including:
  • Acting as Secretary three board committees and two sub-committees by preparing agendas, distributing meeting packs, attending meetings, and providing advice and guidance in respect of governance best practice;
  • Lead the Corporate Governance teams activities in relation to the Annual Report and Accounts and oversight of its verification.
  • Ensure appropriate subsidiary governance policies and operating standards are in place for LFS entities.
  • Assist the LFS Company Secretary develop and implement a strong corporate governance framework for the LFS companies, implementing robust systems and processes to support the Board, and covering all aspects of corporate governance and company secretarialmatters.
  • Assistance in UK Legal Entity management and working with Company Secretariat to ensure compliance with legal and regulatory requirements
  • Provision of documentation to Internal and External Auditors and Regulators as directed- provision of copies of committee minutes, meeting packs, papers and any other information requested by the Internal or External Auditors or Regulators
  • Providing support and guidance to junior members of both the LFS Corporate Governance Team e.g. this could involve providing mentoring support to members of the team studying for their ICSA exams and offering guidance and encouragement to Executive Assistantsassisting with Board support matters in compiling and issuing Board packs and in engaging with the executive and non-executive directors.
  • Oversight of the maintenance of all statutory records and ensuring all statutory filings are made with the Registrar of Companies within the relevant time frames
  • To actively participate in team projects, such as governance enhancements, standardisation of materials, external and internal communication strategy in this area.
  • Oversight of the preparation and filing of Annual confirmation statements and other Companies House forms as required within the required timeframes
  • Ensuring the companies are in full compliance with their obligations under the Companies Act and other regulations where relevant.
What were looking for:
  • Be fully qualified or part-qualified Company Secretary (ICSA) with at least 5 years experience working in a FTSE or Financial Services/Investment Management.
  • Demonstrate personal leadership
  • Demonstrate proven experience of company secretarial work gained predominantly in a professional service, or financial services environment.
  • Experience and understanding of the Company Secretarial function and corporate governance requirements;
  • Good knowledge of the Companies Act 2006 and of directors role and responsibilities;
  • Strong technical skills, including in respect of changes to share capital and reorganisations;
  • Relevant regulatory knowledge, particularly with regard to Financial Services and what it means to be a Company Secretary in that environment; and
  • An understanding of the Financial Services industry and/or Investment Management. Experience in a real property and/or private equity setting would be an advantage.
  • Ability to understand key stakeholders and sensitive to this and build own internal networks
  • Ability to learn and maintain general knowledge of all businesses within LFS and the wider Group.
  • Strong minute-taking skills at board and committee level;
  • Project management experience and experience of working in multi-disciplinary teams will be an advantage;
  • Highly organised, thorough, demonstrating excellent attention to detail and a proactive, flexible approach.
