Job Description

Paralegal About Reply: Reply specialises in the design and implementation of solutions based on new communication channels and digital media. As a network of highly specialised companies, Reply defines and develops business models enabled by the new models of AI, big data, cloudcomputing, digital media and the Internet of things. Reply delivers consulting, system integration and digital services to organisations across the telecom and media; industry and services; banking and insurance; and public sectors. Role Overview: We are looking for a Paralegal who specialises in Contract Review and Company secretarial activities to join an enthusiastic, proactive legal team with a passion for innovation experience. The Paralegal will play an important role in supporting legal operationswithin the organization. This position involves meticulously examining legal documents, particularly contracts, and ensuring compliance with legal regulations and internal policies. Additionally, the role involves assisting with various corporate paperworktasks, such as entity formations, filings, and other administrative duties. Responsibilities:• Analyse contracts to identify legal issues, risks and obligations. Review, draft, and negotiate a wide range of commercial contracts, such as NDA, services and consultancy agreement, partnership agreement, reselling agreement, outsourcing and technology contracts,subcontracts and licensing agreements with mostly private customers and suppliers as necessary. • Provide legal advice to all UK, French and Benelux Reply companies on a broad range of topics, including but not limited to ITC topics, corporate and employment law, compliance, privacy, intellectual property, and any commercial matters as necessary. • Stay updated on relevant laws and regulations affecting the company and implement them into company practice. • Summarize and communicate legal findings to the legal Team and relevant stakeholders. • Drafting Board Resolutions, Shareholders resolutions and other corporate secretarial documents for UK Reply Companies; • Assist with corporate governance matters, legal entity formations, dissolution, and maintenance of corporate records. • Coordinate with internal departments and external stakeholders to ensure timely completion of paperwork and compliance requirements. • Develop internal guidelines, toolkit, and templates on legal matters and contracts. • Assist in monitoring compliance with legal and regulatory requirements. • Identify risks and define a strategy to mitigate them, strategize with internal partners creative win-win solutions or appropriate legal action to be taken. • Collaborate with other members of the legal team or other Reply Group functions to drive compliance with internal policies, processes and approvals. • Assist in developing training materials and provide training to businesses on legal topics, contract-related policies, procedures and best practices. About the candidate: • Bachelors degree in Paralegal Studies, Legal Studies, or related field. • Certification as a paralegal preferred. • Proven experience (3-5 years) working as a paralegal, with a focus on contract review and company secretarial matters. • Strong understanding of contract law and corporate governance principles. Excellent analytical and research skills. • Ability to prioritize tasks and manage multiple deadlines effectively. Ability to work proactively and independently on multiple projects under tight timeframes. • Must be comfortable engaging with senior management with a demonstrated ability to build and maintain strong relationships. • Exceptional attention to detail and organizational skills, flexible with the ability to adapt to a fast-paced, ever-changing environment. • Excellent communication skills, both written and verbal. • Ability to work collaboratively in a team environment. • Strong sense of integrity and discretion when handling sensitive information.
