Job Description

About our clientOur client, a high-performing renewable investment fund, are looking to expand their UK-based legal function. The fund manage a broad range of scalable energy assets within the renewable space. The role will focus on supporting the M&A team responsible fororigination and evaluation of new investment opportunities. Due to a period of high growth, the fund are looking for an experienced lawyer, from either private practice or inhouse, to support quick development in their key markets. As legal counsel, you will work alongside the development, acquisitions and other functionalteams to deliver a streamlined service to the platform. You will report directly to the senior legal counsel - M&A. What the job involvesProviding legal support during the entire M&A process and being one of the principal advisors related to investment transactions.

  • Conduct focused and efficient acquisition due diligence processes, including actively managing local counsel and coordinating Q&A processes
  • Reviewing, drafting and negotiating key acquisition documentation, non-binding offers, term sheets, heads of terms, exclusivity agreements, share purchase agreements, shareholders agreements and other joint venture documentation
  • Reviewing and negotiating commercial contracts (for example, works and services contracts, land rights agreements, connection and other grid related agreements and offtake agreements)
  • Some company law and assistance with day-to-day operational matters (including legal assistance on existing assets)
  • Provide support, including negotiating documentation and managing counsel, on project finance processes related to acquisitions
  • Supporting the development of in-house expertise including the development of internal policies, procedures and precedents
Who we are looking for
  • Qualified solicitor with experience of working on energy and infrastructure M&A transactions
  • Experience of complex acquisition transactions, ideally where such transactions include project or debt finance, demonstrating a broader understanding of the issues related to long-term ownership of assets
  • In-house experience preferable but not requires
  • Outstanding commercial, technical and strategic understanding
  • A strong commercial mindset, able to understand the impact of legal positions on potential investments
  • Multi jurisdictional exposure
