Lawyer - Legal Counsel - Banking - Prime Brokerage - Custody - Collateral Management - Securities - Commercial - Global Markets - EU Regulation A leading investment bank based in London is seeking three Legal Counsels, one junior, one mid level and one senior, to support their Prime Services/Global Markets business. The role will focus on advice for non-trading related agreements, such as custody agreements, correspondent banking agreements (and, on the odd occasion collateral management agreements) and other associated documentation. The role will also involve regulatory analysis of client asset protection and client money rules and other regulatory and legal requirements including bail-in, contractual stay, AIFMD, RG133, MIFID II, and data protection requirements. In particular, the roles will support a combination of: legal risk mitigation repapering for existing agreements; repapering and negotiation of new custodian agreements with new custodians for new markets; and/or CS legal entity migration projects which involve delivering a simplified CS entity structure and transferring business from one UK entity to another to reduce the number of material legal entities Key Responsibilities include: Drafting, negotiating and advising on non-standard/bespoke and complex custody agreements, correspondent banking agreements and collateral management agreements and other associated documentation as well as amendments to each of these documents. Producing contractual supporting documentation in accordance with set parameters, and escalating where appropriate Coordination and harmonization of input globally from CS lawyers across the different regions will be needed for some of the contracts. Advising on regulatory requirements and licensing requirements that are needed for the relevant CS legal entity to hold assets and cash. This may involve considering non-UK requirements. Identifying, advising on and escalating key legal risk issues Providing legal advice, support and guidance to the project team and IB front and back office (including Global Network Management (GNM) and the trading desks) Coordinating comments and approvals for deviations from set parameters (including any fallback positions), and ensuring that there is a reliable audit trail for any non-standard approvals Establish excellent working relationships with and supporting the front and back office, GNM and the trading desks and the project management team in working to tight timelines, ensuring consistency of approach in documentation by coordination with other functions that support IB Business, for example, credit risk, management, tax and compliance as well as working closely with the primary contacts for IB business Applying the highest standards and principles at all times and challenging others where required Upholding the strategy and vision of CS and working towards its implementation Essential Skills and Qualifications: Professionally qualified with legal skills/training, preferably UK qualified lawyer/solicitor/barrister.
