Job Description

About this role: The Legal Department provides advice to Wells Fargos management, business units and support functions on a wide range of issues including regulatory matters, transactions and corporate law issues with lawyers located in Wells Fargos offices globally. It supportsthe vision and values of Wells Fargo by providing expert, creative, cost-effective, and timely advice and services to all Wells Fargo businesses and support functions. We operate in accordance with the highest standards of judgment, integrity, and ethicalleadership to find creative solutions that best serve our customers, prudently manage risks, and contribute to Wells Fargos enterprise success. As part of its support for Wells Fargos business in EMEA, the Lending Team in the EMEA Legal Department actively supports the EMEA lending businesses based in London and Western Europe, including Capital Finance, Corporate and Middle Market Banking, FIG, SubscriptionFinance and Commercial Real Estate Finance. In addition, it provides support to the EMEA Treasury Management and Payment Services businesses based in London. The candidate will work closely with the senior lending lawyers in the team, as well as external counsel in reviewing and negotiating transaction documentation, including having responsibility for the review of confidentiality agreements and legal opinions.As part of this role, they will interact with a wide variety of stakeholders across the businesses supported by the team. This candidate will work as part of the Lending Team in the EMEA Legal Department, and collaborate closely with other legal colleagues in with the wider EMEA Legal Team, as well as lawyers and business stakeholders in the United States and internationally. In addition to these functions, all EMEA lawyers are required to carry out such other duties as may from time to time be reasonably required as part of the wider activities of the EMEA Legal Team. Responsibilities:

  • Working closely with the lawyers in the team, and with lines of business, in reviewing and negotiating lending transaction documentation, including the review of confidentiality agreements and legal opinions.
  • Coordinating advice provided through the Legal Lending mailbox through which advice is provided to the Corporate and Middle Market Banking and FIG lines of business.
  • Providing focused support to the Capital Finance business in region, coordinating outsourcing of work to external counsel where appropriate.
  • Supporting the lawyers in the team in advising on existing and upcoming UK and EU laws and regulations affecting the lending businesses in region.
  • Supporting the lawyers in the team in advising on, and identifying, legal issues, risks and mitigants in relation to cross-border licensing issues, including instructing and liaising with external counsel as required.
  • Working with senior lawyers with each line of business to help develop and grow their businesses, including by providing creative and problem-solving legal input to new product and new initiative development, and assisting with all internal EMEA and widerWells Fargo approval committees and procedures.
  • Working with other functional stakeholders, including Compliance and all wider Risk functions, in the EMEA platform and the US.
  • Communicating and collaborating on all elements of their legal work and wider associated legal and business risks with other members of the EMEA Legal Lending Team, the wider EMEA Legal Department and Legal colleagues in the US and internationally.
  • Effectively managing own workflow, prioritisation and legal spend tracking.
Required Qualifications:
  • Duly qualified lawyer admitted to practice law in England & Wales, the United States, other common-law or European jurisdiction.
  • Transactional experience (indicative guideline 0 - 5 PQE) practicing law with a major law firm or financial services organisation.
  • Experience of advising and representing international financial institutions in banking and lending transactions.
  • Good working knowledge of UK and EU laws and regulations which apply to cross-border lending in region.
  • Proven ability to analyse legal and regulatory issues and provide effective advice to internal clients on complex legal matters.
  • Strong attention to detail and accuracy skills.
  • Excellent verbal, written, and interpersonal communication skills.
  • Ability to self-start, effectively organise and prioritise multiple workstreams and internal client requests.
  • Able to escalate legal issues effectively where necessary and not reluctant to raise hand.
  • Ability to work effectively in a complex environment with a high degree of collaboration.
  • Effective in building partnerships, functioning well with project teams, and working for the success of the wider team
