Job Description

Job description - the roleOur client, Deutsche Bank, is a global banking business with strong roots in Germany and operations in over 70 countries. Their large but focused footprint gives them an established position in Europe plus a significant presence in the Americas and AsiaPacific. Deutsche Bank offer their clients commercial and investment banking, retail banking and transaction banking as well as ground-breaking asset and wealth management products and services.On behalf of Deutsche Bank, AMS are now looking for a Legal Counsel, VP to work in their Debt Products team based in London on a PAYE basis.The Debt Products team sits within the London Legal Financing, Lending and Capital Markets team and supports European Leveraged Finance and investment Grade Lending.In addition, the team advises; (i) European Commercial Real Estate; (ii) Loan Portfolio; and (iii) Loan AgencyFocus on identifying, analysing and advising the following businesses in relation to legal, regulatory and reputational risks:*Leveraged Finance: (i) leveraged lending transactions (from origination and commitment through to execution and syndication); (ii) high yield capital markets transactions (144A/Regs offerings); and (iii) liability management (including buybacks, tenderoffers, exchange offers and consent solicitations).*Investment Grade Lending: bilateral and syndicated lending.The team also advises:*Commercial Real Estate: (i) lending, (ii) securitisation; and (iii) non-performing loan portfolio acquisitions (including bid processes, enforcements and regulatory matters).*Loan Portfolio: managing existing loan positions (including de-risking, defaults and restructurings).*Loan Agency: (i) new transactions; (ii) amendments and waivers; and (iii) strategic matters (including regulatory matters, defaults and agency transfersSkills and Qualifications:

  • Qualified in England and Wales, the United States or another common law jurisdiction with 3-8 years of leveraged finance and/or high yield capital markets experience, either in private practice and/or at a leading financial institution.
  • Good understanding of leveraged finance market practice and documentation and of applicable law, regulation and industry standards relevant to the business.
  • Focus on operating as an effective legal risk manager with ability to consider legal and regulatory risk alongside reputational and commercial considerations.
  • Ability to work independently and assume responsibility for own workload from an early stage, but also able to work well with colleagues across legal, the business and other infrastructure functions on transactional, policy and project based work. Abilityto manage external counsel and legal costs.
