Job Description

Head of Governance | Permanent | London | £60,000 - £70,000 + BenefitsFor a complex global organisation with a presence in well over 100 countries, we are recruiting a Head of Governance to provide strategic oversight to the organisations governance, corporate secretarial practice and that the group structure is aligned tobusiness needs and key stakeholder requirements. This role will report to the Head of Corporate Affairs and line manages four Governance Managers.Main Duties:

  • Provide advice on status, classification, governance and company secretary practice across the charity and group including the Head of Corporate Affairs, SLT, committees of the Board of Trustees and the Directors of the subsidiaries.
  • Ensure processes are robust to roll out new or revised UK government guidance and requirements
  • Act as Company Secretary for UK subsidiary companies, providing secretariat services to boards and committees
  • Develop and implement assurance over compliance and governance
  • Establish and embed policies and guidelines to develop the governance framework for the corporate group structure including oversight of the set up and changes to structure / subsidiaries
  • Oversee director appointments and returns to UK charity regulators
  • Lead the governance team including the development of staff and supporting the implementation of enhanced governance processes, systems, and policies
Person Specification:
  • ICSA / CGI qualification with substantial company Governance or Company / Board secretary experience.
  • Experience providing secretariat support to senior boards and committees within a complex organisation
  • Strong team management and development experience
  • Knowledge of UK legal and regulatory requirements to charities, central government, and companies
  • Experience of embedding and monitoring compliance
  • Experience of managing compliance risks across multiple functional areas and locations
  • Ideally experience of working in an international, matrix managed organisation
  • Strong experience of incorporating, winding up, acquiring, or disposing entities
