Job Description

STANMORE COLLEGEDIRECTOR OF GOVERNANCE(Part time, 21.6 hours per week)We are looking to appoint an exceptional person to lead our Governance as our Director of Governance, reporting to the Chair of Governors. The post holder will play a key role in ensuring that Stanmore College has good governance, delivers a high standard of clerk duties and also meets all legal and statutory obligations with our regulatory bodies and stakeholders we serve. As Director of Governance, you will provide professional support to the Governors to ensure that highest level of governance and appropriate levels of oversight are maintained.The College have successfully grown and diversified our income in recent years, working with employers and other local stakeholders to heighten our profile. Stanmore College has achieved a Good Ofsted grade (2017) and we are QAA Confident. This is a fantastic opportunity for someone to take ownership and shape the governance function for Stanmore College. As such it requires the gravitas and passion to make it happen, the interpersonal skills to engage colleagues on the next stage of our journey and the skill set to deliver it.We would like to hear from high calibre individuals, with relevant experience in further education setting, a thorough knowledge of good governance and experience of working with governors, committees and executive teams.You must be an excellent communicator and possess strong relationship building and stakeholder management experience. You will have high level of tact and diplomacy, along with the confidence and credibility to work with people at all levels. To be responsible to the Board of Governors for the servicing of the Board and its committees.2. To provide independent advice to the Board of Governors and its committees on the proper exercise of their powers and on the application of the education acts and other laws affecting its work.3. Grow the governing body to have a strategic outlook, and further develop the college governance so that it is not just outstanding, but an influencer and a role model to other institutionsPurpose Advising and developing the Board and its committees strategically on the proper exercise of their powers and on the application of any acts and other laws affecting its work. This should be specifically in line with: The instrument and articles of governance The code of good governance The financial memorandum The audit code of practice The standing orders of the Board The terms of reference of the committees of the Board The financial regulations and procedures of the CollegeIn consultation with the Chair and the Principal: Planning the programme of meetings, Establishing the annual cycle of business, Summoning and attending all meetings of the Board and its committees Preparing agendas for meetings and arranging for these and relevant papers to be distributed to members and other interested parties Providing draft minutes for the Chair and Principal and ensuring that approved minutes and agenda papers of the Board and its committees, other than those deemed confidential, are made available for reference to staff, students and the general public as stated in the instrument and articles of government Acting as a reference point for all enquiries relating to the Board Providing administrative support to the Chair of the Board, the Chairs of committees and to individual members as required and acting as a correspondent To keep under review the standing orders for the conduct of business of the Board and its committees Maintaining a record of membership of the Board and its committees Maintaining an attendance record of governors, notifying the Board of any governors whose non-attendance gives rise to disqualification or who for some other reason are disqualified from holding office To plan and make arrangements for governor elections, advise the Board on strategies for recruiting governors and prepare and issue letters of appointment on behalf of the Board Responsible for ensuring corporate governance arrangements contribute meaningfully to the strategic development of the College, and that the College becomes an exemplar of best practice in its corporate governance arrangements. Ability to manage senior relationships at Board of Governors (Board), Committees and executive level, adding more value to the wider corporate picture, and experience of working closely with a range of stakeholders. Responsible for keeping the conscience of the College by providing independent, high quality guidance on statutory, constitutional, operational procedural and ethical issues as they affect the Board, its committees and its subsidiaries Responsible for ensuring the Board is accountable to its internal and external stakeholders Accountable to the Board, through the Chair, on all matters relating to their duties as an officer of the Corporation Provide leadership, advice and support in all governance activities, statutory and regulatory compliance and external governance relations Oversee internal audit arrangements for the Board and its committees to ensure governance compliance Support the Board and its members in evaluating their effectiveness and training and development Inform and advise the Board on developments within the sector and relevant news from outside the sector Be proactive in keeping abreast of current and emerging guidance and legislation and advising governors accordingly Take appropriate action if and when the Board, its Chair or one of its Committees appears to be at risk of acting (or to have acted) outside their powers or to be proposing (or have taken) actions that may be unlawful.Responsibilities Manage the governance arrangements in line with best sector and external practice. Ensure the Board and its committees are capable of executing on its remit as outlined in the constitutional documents. Promote sound standards of governance and act as a guardian of integrity Review legislative and regulatory developments and advise the Board and Committees accordingly Giving advice and support to the Chair, Vice Chair, Committee Chairs and Senior Leadership Team in their respective roles Work closely with the Chair, the Principal, the Senior Leadership Team and other members of staff
