Job Description The legal function of a leading professional services network is looking to hire a Corporate/Commercial Lawyer to join their Business Law team. The CompanyOur client is an alternative business structure licensed to provide legal services. It is the fastest growing alternative business structure in the country and is part of a large progressive group of accountants. It provides legal business advice to owner managedbusinesses including corporate, commercial, commercial property, employment and finance advice. The RoleThe aims of the role are to develop and manage relationships with key managers in the M25 Region; to manage a range of corporate and commercial matters from initial instruction through to matter conclusion in the London region; and to be actively involved inall business development opportunities and expand the firms legal practice in the M25 region. The Responsibilities
  • Assisting and advising clients on:o corporate transactional matters, including business sales, acquisitions, restructures and MBOs;o company matters, including shareholders agreements, company secretarial matters and EMIs;o commercial matters, including commercial contracts, intellectual property and GDPR;o non contentious employment law matters such as employment contracts, service agreements and settlement agreements
  • Working closely and collaboratively with the firms Accountants and Tax teams to provide a full service on corporate transactions and restructure matters
  • Giving estimates of costs to new clients and being responsible for managing costs throughout allmatters
  • To liaise with clients commercial agents, business sale brokers, other professionals and opposingsolicitors by telephone, post, e-mail or in person, as necessary, at every stage of the transaction
  • To be responsible for all file opening and AML procedures and to ensure compliance withregulatory requirements in relation to the same
  • To manage a range of corporate and commercial matters from initial instruction through to matterconclusion
  • To ensure the confidentiality of all the firms and clients documentation
  • To achieve agreed levels of time-recording (as appropriate)
  • To undertake any other tasks as may be required from time to time
Experience & Background
  • Ideally a qualified Solicitor with minimum 1-3 years experience in corporate and commercial work but applications will be considered from those with alternative relevant qualifications or who can demonstrate equivalent skills and experience
  • Excellent knowledge of:- legal experience which has mostly been gained on non-contentious business transactions and issues- business drivers affecting, and legal, regulatory and business risks of owner managed businesses.- corporate transactional work; and- general commercial law
  • Ability to work flexibly and collaboratively as part of a small, supportive team while taking responsibility for their own work;
  • Effective oral and written communication skills
  • Pleasant and positive manner in dealing with colleagues and clients.
  • Ability to provide clear and pragmatic advice to, and deal confidently with, individuals at all levels
  • Ability to evaluate a situation in the face of time constraints and react appropriately
  • Good time management, file organisation and personal organisation
  • Ability to work effectively and flexibly in a team
