Job Description

Founded in 1884, the Standard Club (the club) is a leading global marine and energy liability insurer which insures around 9% of the world shipping fleet, with premium income of $288m and assets more than $1bn. It is a mutual organisation which is ownedand governed by its insured members who are shipowners and other operators in the shipping industry, and which has regulated insurance operations in Bermuda, the UK, Ireland, Singapore, Greece and Hong Kong as well as unregulated operations in the US. Theclub is one of 13 Protection & Indemnity (P&I) Clubs which comprise the International Group of P&I Clubs and which collectively provide marine liability cover for approximately 90% of the worlds ocean-going tonnage.On 20 August 2021, the club separated from its management services provider, Charles Taylor.Following the clubs separation from Charles Taylor, this is an exciting time for the club and will enable the clubs Board to manage day-to-day operations for the long-term benefit of its members and brokers by bringing its core management operations in-house.We now have an interesting opportunity for a Paralegal to join our London office on a 12 months fixed term contract to assist the Company Secretarial function in the provision of company secretarial and legal support for the club and its subsidiaries boardsand committees.This is a new position which offers a variety (both in nature and international scope) of interesting and challenging work.What will you be doingYou main duties will include a mix of responsibilities to but not limited to:-Assisting the Company Secretary with:

  • The board meeting cycle, including the scheduling of board meetings, preparation of agendas, agenda planning meetings, collation of board/committee papers, circulation of board papers and creation of action trackers post board meetings.
  • Day-to-day support for board members of club, including onboarding, induction, and training requirements. To manage the annual directors screening in accordance with regulatory requirements.
  • Assisting the production of the annual report.
  • Maintaining statutory records, including registers of members, directors, and secretaries and submitting statutory filings to Companies House and the CRO (Ireland).
  • Respond to internal and external requests regarding company secretarial matters, including auditor and KYC requests.
  • Administration tasks would involve the processing of invoices, maintaining the company secretarial procedures manual, distribution lists, diary management and the maintenance of directors details.
Assisting Legal Counsel with:
  • Day-to-day operation of the corporate legal function of the club.
  • Providing legal and regulatory advice (including oversight of external legal advice) to the various functions and senior management of the club in support of its corporate affairs and activities.
  • Providing legal advice and support in relation to the preparation/ negotiation of commercial contracts (with third parties and intragroup)
  • Assisting with the implementation of effective contract management for the club.
  • providing legal advice and support on data protection matters arising from the clubs activities.
  • Monitoring legal developments impacting the clubs activities and to ensure that the club is well placed to implement and comply with any such developments.
  • Contributing to relevant legal know-how, templates, and other materials.
  • Maintain current knowledge of relevant regulatory and legislative changes
About youYou will be:
  • Educated with a legal degree level or equivalent.
  • Studying for the Legal Practice Course (LPC) or LPC qualified (or equivalent).
  • General company secretarial experience (inclusive of minute taking and board support), preferably with an ICSA Qualification.
  • Strong written and oral skills, with excellent attention to detail.
