Role Context: This is an all-rounder role for a mid-level Assistant Company Secretary with substantial Board and Committee experience in a busy, dynamic and friendly team. Key Duties & Responsibilities: The Assistant Company Secretary will support the Senior Assistant Company Secretaries and the Deputy Company Secretaries in providing a full range of company secretarial and governance services to the M&G plc Group, focussing mainly on the asset managementside of the business. Responsibilities include:
  • Providing high quality, all-round company secretarial support and advice to Boards and Committees;
  • Producing accurate, high-quality minutes and other documentation;
  • Ensuring the company records and filings are kept up to date;
  • Maintaining and developing departmental processes and procedural documentation;
  • Working on ad-hoc projects, acting as the CoSec lead where needed; and
  • Providing other assistance as required from time to time to ensure departmental objectives are met.
Work Level Accountabilities: Expert:
  • For technical specialists, accountable for delivering expert advice or service, using specialist knowledge and subject matter expertise;
  • Applies judgement to deliver outcomes, evaluating a range of potential solutions, considering the impact for customers, cost and risk;
  • Manages conflicts that may impact delivery;
  • Challenges upwards given knowledge of delivery and awareness of complex systems and the broader picture;
  • Identifies and anticipates need for changes to continuously improve quality and efficiency of output; and
  • Manages resources and risks using expert judgment, know-how and experience.
Skills, Knowledge & Experience required:
  • ICSA qualified (or part qualified working towards full qualified status) or equivalent legal qualification;
  • Ideally 3-5 years previous company secretarial experience to include company administration, board/committee support and experience of minuting complex meetings;
  • Excellent communication skills with experience communicating with a range of internal and external stakeholders, including independent non-executives;
  • Highly organised and able to prioritise and manage multiple tasks;
  • Experience working in a FTSE/Financial Services secretariat;
  • Good knowledge of the Companies Act and Senior Managers and Certification Regime;
  • Strong technical IT skills and ideally good working knowledge of Diligent Entities and Diligent Board; and
  • Proactive approach, with willingness and adaptability to pick up and run with new challenges. We are a transforming organisation.
