Venesky-Brown’s client, a public sector organisation in Glasgow, is currently looking to recruit a Head of Governance / Deputy Company Secretary for as soon as possible for an initial 6 month contract with option to extend on a rate of c.£600-£800/day(Inside IR35). This role will be based onsite however other aspects of this role can successfully be fulfilled with a combination of both office and home/remote working.Responsibilities:- Ensure good corporate governance standards are met and that the group subsidiary companies are compliant with the Companies Act 2006 and other relevant statutory requirements- Responsible for ensuring that there is proper and appropriate co-ordination of Group Boards and Board Committees and an effective flow of information- Responsible for formulating meeting agendas with the relevant Board/Committee and advising the Executive team on organisation of papers or presentations for meetings- Responsible for writing minutes of Group Boards and Board Committee meetings, for approval by the relevant Chair prior to circulation- Responsible for co-ordinating, monitoring and recording follow-up actions arising from meetings- Responsible for ensuring that all Board Committees’ Terms of Reference are reviewed, amended where appropriate, and approved as part of an annual governance review cycle- Work collaboratively with other teams in the design and content of the Annual Report and Accounts to ensure compliance with statutory and public sector requirements, and to be responsible for the production of the corporate governance sections- Responsible for maintaining and updating the Governance section on organisation’s website- Gain and maintain familiarisation with good governance documents- Provide support to the Company Secretary in the succession planning and induction of Group Board members- Responsible for maintaining and reviewing procedures for the sound governance of the Group facilitating annual Board and Committee evaluations, and facilitating any ongoing training highlighted and advising on developments in governance issues- Responsible for managing and contributing to projects as required, ensuring successful implementation and review- Support the Corporate Services Directorates’ participation in internal and external audit programmes, as required- Advise on changes in legislation affecting corporate governance and best practice- To undertake other tasks as required for the effective operation of Groups’ corporate governance function.Essential Skills:- Excellent working knowledge of Companies Act 2006 and the UK Corporate Governance Code.- Demonstrable experience from of corporate governance within a company secretarial position with a proven ability to plan, deliver and document meetings.- CGI Qualified or Part-Qualified.If you would like to hear more about this opportunity please get in touch.
