Job Description

Fraser Carver Executive Search and working with a Financial Services organisation in the East Midlands who have extremely agressive growth plans over the next few years and as such are looking to appoint a high calibre Corporate Development Director/AD to support thier Chief Commercial Officer with ongoing M&A execution.Reporting into the Chief Commercial Officer and working closely with the CFO, you will be part of a small Corporate Development team who are the company wide and external face of Corporate Finance, responsible for continually improving the business proposition through strategic analysis and investment. You will be responsible for providing key commercial insight, interpreting the direction of and how to support the business vision of the future growth through holistic financial solutions.Key Responsibilities:

  • Working closely with the CCO and Exec Board to develop and implement commercial strategies to optimise value for customers and stakeholders
  • Assessing all new potential investments and JVs to determine value and deal structure
  • Own transaction process to include; writing board papers on investment rationale; determining corporate structure of transaction; financial modelling; liaison with legal teams to deliver investment
  • Ownership of current investments to include; changes to funding; exercising of options; share schemes; increasing investment etc
  • Assisting current business investments with support for transactions they may wish to participate in
  • Ensuring commercial management of existing and new contracts addressing flexibility
  • Oversight of changes to existing contracts/ JVs
  • Point of reference for all commercial negotiations
  • Execution and management of various remuneration areas such as Pay review/ Bonus schemes etc
    • To be considered for this role you will need to demonstrate:
  • It is Essential that you have worked within the Financial Services sector (FIG)(People who have not worked within FS will not be considered for this role)
  • It is Essential that you have been involved in at least 10+ mid-market M&A transactions (full life-cycle)
  • It is highly desirable that you have worked within a listed business and understand importance of creating shareholder value
  • You will either have operated at Associate Director/ Director level within an In-house Corporate Development function or within an Investment Bank, Boutique or Big 4 Corporate Finance Team (Lead Advisory). Your sector coverage must encompass FIG/FS as part of a generalist role if you dont have a pure sector focus.
  • You must be able to demonstrate strong contract negotiation/ management/ due diligence experience
  • Exceptional interpersonal skills and ability to develop internal and external relationships
  • Preferably you will have worked within; Insurance, Protection, Retail Banking, Mortgages
  • You will have excellent academics including a relevant degree/ masters from a reputable University/ Business school.
    • It is essential that you are happy to spend 1-2 days per week in the Midlands or as and when business needs require. Required skills
