Job Description

Wood Thilsted (WT) is an engineering company focused on all aspects of foundation design within the offshore and onshore renewable energy industry. WT’s capabilities began with a focus on geotechnical and structural engineering, and has grown over the last 5 years to include geophysics, metocean, scour, seismic specialties. We operate globally with projects located in Asia, North America and Northern Europe. Due to the success and growth of the company, we are searching for a capable and motivated Contracts Analyst to work as part of the Legal/Contracts Function.The primary work location can be flexible and home working can also be considered. Our teams, clients and projects are spread internationally across Northern Europe, North America and South-East Asia, you may expect some travelling in relation to your work, both nationally and internationally.The Legal/Contracts function at Wood Thilsted focuses on all aspects of client contract negotiation and reviews including client tenders and contracts, MOUs, Bidding Agreements, Confidentiality Agreements, Parent Company Guarantees, sub-contract flowdowns and other agreements required to meet the business needs. The team provides support to the various Business Units in the review of contracts and related documents, identifying and mitigating risk in accordance with good contract governance.KEY RESPONSIBILITIESWe are therefore looking for a high calibre, experienced and suitably qualified Contracts Analyst who has a proven delivery track record of contract drafting and negotiations to be part of our growing business.

  • Ability to negotiate complex MSAs and strategic deals with support from the Legal function
  • Assistance with the review and drafting of terms and conditions and the negotiation of subcontracts in support of the subcontracts function (including more complex flow down terms).
  • Drafting, review and negotiation of terms and conditions of contracts worldwide with clients and subcontractors in the offshore renewables industry.
  • Negotiation and drafting of NDAs, MOUs, bidding agreements and co-operation agreements under the supervision of the Legal Function.
  • Ability to draft and edit documents for compliance with the group-wide Contracting Policy (CP) and to follow the relevant internal contracting policies and processes.
  • Assist the Legal and Tendering Team to develop the functions skills and the promotion of an environment of learning and empowerment
  • Provide contracts input to Business Development for all tenders and proposals.
  • Interface with the Commercial, Tax, Insurance and Legal Departments and any other functions as appropriate .
  • Assist embedding the financial management framework.
  • Personal safety and working within the provisions and guidelines of the overall company HSE policies and procedures.
  • KEY RELATIONSHIPSThe key relationships within this role are:Internal: Cross functional support including: Commercial, Strategy & Development, Group Legal, Group Insurance,Group Tax, Group Treasury, Group Audit and Finance, and peers in other Business Units.External: Clients and potential clients and SubcontractorsWe require the person to work with minimal supervision and to be accountable for delivery of client contract tasks ensuring they are completed correctly and in a timely mannerPERSON SPECIFICATIONQualifications:
  • Ideally having completed an undergraduate degree in Business Studies, QS or Legal.
  • Knowledge, skills and experience:
  • Extensive experience and proven track record of having worked in a client contract function in a servicecompany environment.
  • In addition to undergraduate degree or equivalent work experience, the individual should have work experience in the industry which would allow understanding of and exposure to key contracting principles.
  • Experience in the negotiation and set up of JVs, MOUs, bidding agreements and consortiumagreements.
  • Expert knowledge of contract terms, contract principles and drafting and roll out of contracting policies.
  • Proven track record in contracts review, development and negotiation.
  • Excellent understanding of Client contract structures, principles and policies.
  • Contract experience should cover engineering and construction projects in the energy industry and ideally with experience in Offshore Renewables , EPC, EPCm, standard contract model forms (including NEC, FIDIC, JCT and LOGIC).
