Department Overview Citis Legal Department in Belfast is a team of approximately 170 staff, covering a range of products and services across Citis Europe Middle East and Africa region (known as "EMEA"). The Belfast Legal Department provides a range of services, support and advice to many business areas with a particular focus on Citis Institutional Client Group; incorporating transaction negotiation, master agreement negotiation, and oversight of complianceand regulatory requirements. Role Overview An Opportunity has arisen for a Negotiation Officer (Assistant Vice President) in the Belfast Markets Legal Team.This role will involve working closely with Citis external clients as well as the Sales, EMEA and Global Product Heads for the respective business line and Citi Product Legal Counsel in negotiating, reviewing and analysing legal documentation whilst responsiblefor overseeing and advising the team of negotiators in drafting, negotiating, co-ordinating, implementing and execution of a variety of Master Trading Documentation including, but not limited to, ISDA Master Agreements, Credit Support Annexes, Account ControlAgreements, Side Letters, Electronic trading agreements, amendments and various ancillary documentation (e.g. Non Disclosure Agreements,) across a wide range of counterparty types, and in compliance with Citis policies and procedures. The successful candidatemust also participate in the development and implementation of key processes and controls when documenting new clients, addressing governance/control issues when they arise and escalating to senior legal where appropriate. The position will require an awareness of the impact of core regulation on the derivatives markets and underlying documentation. The successful individual will work closely with the team on reviewing/negotiating a broad range of standard legal agreements butmust also be comfortable to use bespoke documentation structures. Key Responsibilities The position will involve a number of responsibilities including but not limited to:

  • Negotiating/reviewing legal agreements with internal/external customers to reach agreement on the contents of the Banks legal documentation, through telephonic or electronic negotiation and legal lock in sessions/client meetings (where required).
  • Close liaison with internal businesses/London Legal in connection with the negotiation of legal agreements in the relevant business area. Convey strong commercial awareness and understanding of the desks priorities by ensuring prioritisation of file loadis aligned with overall desk goals.
  • Interpret key commercial concepts from an array of trading agreements (including ISDA Master Agreements, Credit Support Annexes, Termination Agreements, Account Control Agreements, Electronic trading agreements and ancillary documentation and incorporateinto EMEA specific documentation, accounting for the necessary regulatory and/or jurisdictional changes where required.
  • Apply in-depth understanding of how associated risks differ depending on product and documentation envisaged in relevant jurisdiction(s) and advise Risk and Business accordingly.
  • Ensure Citis internal and regulatory policies are maintained, and where deviations are necessary, ensuring appropriate risk and/or business approvals are obtained.
  • Contribute to the development and implementation of process improvements, through liaising with internal stakeholders such as Technology, Risk, Client Risk Facilitation, Client Onboarding, Regulatory Reform, CVA, Operations and Legal.
  • Ensure key governance and control checks are implemented during documentation process; proactively identify and escalate issues within the relevant business.
  • Understand impact of applicable regulations on the business area and ensure that agreements meet with such regulatory requirements.
  • Problem solve in order to facilitate solutions to ensure technology systems and legal documentation can support client offerings in order to drive forward the client experience. Involvement with technology development discussions as and when potential solutionsare being requested from or offered to clients which may have systems and/or documentation implications.
  • Provide support to the relevant team leader in ensuring that BAU activities carried out by the team are completed accurately and to the highest standard.
  • Assist with knowledge sharing and preparation of know-how manuals. Provide support and/or training to team members as required.
  • Comply with internal and external audits requests to include supplying client documentation and other relevant information as requested by auditors in accordance with specified timeframes.
Knowledge/Experience
  • Experience of working in a legal/financial service organisation preferable.
  • Extensive experience with negotiating commercial contracts including Master Agreements and associated key trading infrastructure documentation including collateral documentation is essential.
  • Previous experience in a senior support capacity would be advantageous.
  • Proven track record in delivering results in a challenging and changing environment.
